PROPOSED ACQUISITION OF 85% INTEREST IN GTMS CONSTRUCTION PTE LTD ("PROPOSED ACQUISITION")


Description The Board of Directors of PSL Holdings Limited (the "Company") is pleased to announce that on 21 October 2009, shareholders holding approximately 85% of the equity interest in GTMS Construction Pte Ltd ("GTMS"), have indicated their preliminary acceptance of the Company’s non-binding offer to purchase their shares for an aggregate consideration of S$425,000 ("Offer"), subject to contract.

If the Offer is finally accepted by the shareholders of GTMS, the parties will further discuss the terms of the Proposed Acquisition, following which the parties will sign a definitive sale and purchase agreement. The Proposed Acquisition will be subject to financial and legal due diligence.

The Board of Directors of the Company will release further announcements if there are new developments on the Proposed Acquisition.
