Mandatory Offers
17.8.7 In determining whether the 30% trigger-point is reached, the shares held by any parties acting in concert are taken into account. Persons acting in concert comprise individuals or companies who cooperate to obtain or consolidate control of a company pursuant to an agreement or understanding, whether formal or informal. Certain parties are presumed to be acting in concert until the contrary is established, e.g., a company and its related companies, a company and its directors and their relatives, a financial adviser and its clients. Where persons acting in concert hold between 30% and 50% of the voting shares of a public company, a mandatory take-over bid may be required if those persons acquire shares carrying 1% of the voting rights in the company within any particular 6-month period.
